Transition Assistance Clause

A transition assistance clause requires a vendor to actively help a customer migrate away at the end of a contract — exporting data, documenting configurations, and supporting a defined handover period — rather than simply cutting off access. It's what prevents contract termination from becoming a de facto data or service hostage situation.

Without this clause, a vendor has little incentive to cooperate with an exiting customer — the commercial relationship is ending, so the vendor's natural priority shifts elsewhere, which can leave a customer struggling to migrate at exactly the point they most need support.
A meaningful transition assistance clause specifies the duration of support (commonly 30-90 days post-termination), what's included (data export, configuration documentation, staff availability for questions), and whether it's provided at no extra cost or billed at a defined rate.
This clause is especially important for business-critical infrastructure or platforms where an abrupt cutoff could cause real operational disruption — the less replaceable the vendor's service, the more this clause matters.
A company terminates its contract with a core infrastructure vendor. Under the transition assistance clause, the vendor must continue providing access and support for 60 days post-termination to enable an orderly migration, and must export all customer data in a usable format before final cutoff.
