An insurance and compliance clause requires one or both parties to maintain specific types and amounts of insurance coverage — and to comply with named regulations — for the duration of the contract. It backs up a liability cap with an actual funding source to pay it.

A liability cap is only meaningful if the party being held liable can actually pay it. Requiring proof of insurance turns a paper promise into a funded one — the counterparty isn't just trusting the other side's balance sheet.

Standard categories include general commercial liability, professional indemnity (errors and omissions), and — increasingly — cyber liability for anything involving data processing. The right combination depends entirely on what the contract actually involves.

Compliance requirements are often bundled into the same clause: naming specific regulations or industry standards the party must adhere to, sometimes with a right to audit or request evidence of compliance.

Example

A vendor agrees to a ₹1 crore liability cap but carries only ₹10 lakh of insurance. If a claim exceeds what the vendor can pay out of pocket, the cap is worth only as much as the vendor's actual assets — which is exactly what an insurance requirement is meant to prevent.
