Dispute Resolution

Also called: Arbitration Clause · Dispute Resolution Clause · Escalation Clause

A dispute resolution clause sets out how disagreements will be resolved — through negotiation, mediation, arbitration, or litigation — and where. It determines the cost, speed, privacy, and finality of any dispute long before one arises.

In more detail

Arbitration is typically private and produces an award that is final with very limited appeal rights, which can be an advantage or a serious disadvantage depending on which side of an adverse decision you land. Litigation is generally public and appealable but often slower.

Tiered clauses are common in commercial contracts: the parties must attempt negotiation, then mediation, before either can commence arbitration or proceedings. These preserve relationships and filter out disputes that settle once escalated to the right people.

The details carry real cost consequences — the seat and rules of arbitration, the number of arbitrators, the language of proceedings, and who bears costs. A three-arbitrator panel in a distant seat can make a modest dispute uneconomic to pursue at all.

How this varies by jurisdiction

Cross-border arbitration awards are broadly enforceable under widely adopted international conventions, which is a large part of why arbitration is often preferred over litigation in cross-border commercial contracts.

  • The seat, rules, and language of arbitration where applicable
  • Whether escalation tiers are mandatory preconditions or merely optional
  • Cost allocation, and whether the forum is practically accessible to you
